These Terms of Service (ToS) govern the contractual relationship between EtalSoft (hereinafter "the Provider") and any individual or legal entity (hereinafter "the Customer") subscribing to one or more software products offered on the etalsoft.eu platform.
Any subscription implies full and unconditional acceptance of these ToS. The Customer acknowledges having read them before placing any order. EtalSoft reserves the right to modify these ToS at any time, with the new conditions applying to contracts concluded after their publication.
EtalSoft offers software in SaaS (Software as a Service) mode, accessible via the EtalSoft Launcher after authentication. Available software includes:
Software mentioned as "In development" is provided for informational purposes. Their availability and features may change. The Provider commits to informing Customers of any substantial changes.
Prices are shown in euros including tax on the Pricing page. EtalSoft applies 20% VAT in accordance with current French legislation. Any price change will be notified to the Customer by email at least 30 days before taking effect.
Monthly subscription
Monthly billing, automatically renewed each month on the subscription anniversary date. The Customer may disable automatic renewal from their dashboard at any time.
Annual subscription
Annual billing with 2 months free compared to the monthly rate. The annual subscription is non-refundable after activation, unless otherwise required by law.
Payment is made online via Stripe, a secure payment platform. Banking data does not transit through EtalSoft servers. An invoice is automatically issued after each confirmed payment and accessible in the customer dashboard.
Access to the software is activated immediately after payment confirmation by Stripe. The Customer receives a welcome email containing their unique client code (format ESOFT-XXXXXX) along with instructions to connect to the EtalSoft Launcher. This client code is essential for using the software and must not be disclosed.
The Customer agrees to use the licenses in accordance with the conditions of the subscribed plan (number of authorized stores and workstations). Any exceeding of plan limits must result in a subscription upgrade. The Customer is responsible for the confidentiality of their login credentials.
In accordance with Article L221-28 of the French Consumer Code, the 14-day right of withdrawal does not apply to digital content services whose execution has begun before the expiry of the withdrawal period, provided that the consumer has expressly waived their right of withdrawal.
By subscribing and immediately accessing the service, the Customer expressly waives their right of withdrawal and is clearly informed of this during the subscription process. This waiver is confirmed by the mandatory checkbox during the order process.
The Customer may cancel their subscription at any time from their dashboard, in the "Subscription" section of the relevant software. Cancellation takes effect at the end of the current subscription period. The service remains fully accessible until that date.
No refund will be issued for the current period at the time of cancellation. Upon cancellation of the last active subscription on the account, all associated data (profile, licenses, store accounts, central accounts, database configuration, billing history) will be permanently deleted within 72 hours of expiry. A summary email containing all data and invoices will be sent to the Customer before deletion.
🔒 Engagement de transparence
If the Customer has multiple active subscriptions and cancels one, only that subscription and its directly associated data will be deleted. The customer account will remain active as long as at least one subscription is active. EtalSoft commits to never reselling, transferring or commercially exploiting its customers' personal data. Deletion is total and irreversible, with no backup retained after the 72-hour period.
The Customer may change their subscription plan at any time from their dashboard, in the "Subscription" section. An upgrade (moving to a higher plan) takes effect immediately with a pro-rata calculation for the current period, processed directly by Stripe.
A downgrade (moving to a lower plan) takes effect at the end of the current period. If a downgrade results in a reduction of the number of licenses, the Customer must first delete the excess store accounts. The Provider will not automatically delete any data when changing plans.
The Provider commits to making every effort to ensure 24/7 service availability. Occasional interruptions may occur for maintenance operations, which will be announced in advance by email and/or notification in the dashboard where possible. The Provider cannot be held liable for interruptions due to external causes (network failures, force majeure, etc.).
The Provider cannot be held liable for direct or indirect damages resulting from the use or inability to use the service, including data loss, loss of revenue or any commercial damage. The Provider's liability is in any case limited to the amounts paid by the Customer during the 3 months preceding the incident.
Data collected is used exclusively for subscription management and customer relations, in accordance with the General Data Protection Regulation (GDPR). EtalSoft does not sell or share its customers' personal data with third parties for commercial purposes. Data is hosted in France on secure servers. The Customer has the right to access, rectify, port and delete their data, exercisable at contact@etalsoft.eu. For more information, consult our Privacy Policy.
These ToS are governed by French law. In case of dispute, the parties agree to seek an amicable resolution before any legal action. In the absence of an amicable agreement within 30 days, the dispute will be submitted to the competent courts within the jurisdiction of EtalSoft's registered office.
In accordance with the provisions of the Consumer Code relating to the amicable settlement of disputes, EtalSoft adheres to the competent Mediator Service whose contact details are available upon request at contact@etalsoft.eu. Consumer customers may also use the European online dispute resolution (ODR) platform accessible at https://ec.europa.eu/consumers/odr.
